Chesterbrook Woods Citizens Association
By-laws
(As amended March 29, 2001)
ARTICLE 1. NAME
The name of this organization is the CHESTERBROOK WOODS CITIZENS ASSOCIATION, hereinafter
referred to as the ASSOCIATION.
ARTICLE 2. AREA DEFINED
See the attached map for the area served by the Association.
ARTICLE 3. OBJECTIVES
The aims and objectives of the Association are to encourage and promote civic welfare and
improvements in or affecting the community of Chesterbrook Woods, Fairfax County, Virginia,
including. but not limited to community health and sanitation, public safety, fire and police
protection, zoning laws and regulations, community planning and building restrictions, public
schools, highways, utilities, and county and state legislation concerning such matters.
ARTICLE 4. MEMBERSHIP
Sec. 1. Residents of the mapped area of legal voting age automatically become members upon payment
of dues. Only those whose dues payments are current are eligible
to vote.
Sec. 2. There shall be not more than two members representing any one dwelling.
Sec. 3. Membership in the Association is not transferable.
ARTICLE 5. DUES
Sec. 1. Annual dues will be set by the budget adopted by the membership at the first regular meeting of the year.
Sec. 2. Special assessments may be made, as required, to carry out the objectives of the
Association by a majority affirmative vote of the members in good standing present at a meeting,
who by prior notice have advised of that special assessment.
ARTICLE 6. OFFICERS
Sec. 1. The officers of the Association are a President, Vice President, Secretary and
Treasurer. Except as may be specified herein, the duties of the officers are those specified
in Robert's Rules of Order, Revised.
Sec. 2. The officers of the Association shall be elected annually at the first regular meeting
of the Association after January 1 of each year, and shall serve until their successors have
been elected and duly qualified.
Sec. 3. A Nominating Committee of three members shall be appointed by the President at the
last regular meeting of the year, which shall prepare a slate consisting of one nominee for
each elective position, and this slate shall be communicated to the members at least two weeks
prior to the first regular meeting of the ensuing year. Additional nominations may be made
from the floor.
Sec. 4. Any member in good standing is eligible for any elective position.
Sec. 5. A vacancy shall be filled either by election at the first regular meeting after the vacancy
occurs and prior notice has been given to the membership, or by a mail ballot circulated to the
members containing a nominee recommended by a duly-appointed nominating committee.
ARTICLE 7. COMMITTEES
Sec. 1. There shall be an Executive Committee consisting of the officers of the Association
and Chairmen of any additional temporary special committees as are required to be appointed
by the President.
Sec. 2. The Executive Committee shall keep a record of its meetings and shall report all
of its actions for approval by the Association at the next regular meeting of the Association.
Any resident is welcome to attend those meetings but cannot vote.
Sec. 3. The President of the Association chairs the Executive Committee and is an ex-officio
member of all other committees except the Nominating Committee.
ARTICLE 8. MEETINGS
Sec. 1. A minimum of two regular meetings of the Association shall be held each year. The
membership will be notified of date, time and place two weeks prior to each meeting.
Sec. 2. Special meetings may be called by the President and must be called at the request of
any ten members.
Sec. 3. A quorum for any meeting shall consist of not less than twenty-five members in good
standing.
Sec. 4. Except as herein provided, Robert's Rules of Order, Revised, shall govern the meetings
of the Association.
ARTICLE 9. VOTING
Sec. 1. Except as otherwise provided herein, all decisions of the Association shall be by a
simple majority (over 50%) of the votes cast.
Sec. 2. Where two or more members are nominated for one office, election shall be by secret
ballot; a secret ballot shall be taken in any other case at the request of two or more members.
Sec. 3. A record vote shall be taken at the request of any two or more members present.
Sec. 4. Comment on public actions which may directly affect the residents of our Association,
if approved by a simply majority of those in good standing present at a meeting, shall be
presented to the appropriate public official, board or commission as the position of the
Association.
ARTICLE 10. AMENDMENTS
These By-laws may be amended at any regular meeting by a two-thirds (67%) affirmative vote of
the votes cast provided that the proposed changes have been presented in writing to all members
at least one week prior to the meeting at which the vote thereon is to be taken.
